Executive summary — Analysis of recent biopharma deals including Lilly's $2.88B Merida buyout, Roche's $1.53B Simcere trispecific license, and Genentech's DualityBio ADC pact.

1. Executive Summary

Capital concentration in multi-specifics, autoantibody degraders, and novel ADC payloads

Recent biopharma transactions demonstrate a significant concentration of capital in multi-specific antibodies, selective autoantibody degradation platforms, and non-topoisomerase antibody-drug conjugate (ADC) payloads. Major pharmaceutical acquirers are executing targeted transactions to secure early-stage assets capable of resetting immune pathobiology without causing broad systemic immunosuppression.

Concurrently, developers are addressing therapeutic limitations in oncology and neurology by acquiring global rights to novel modalities. These include trispecific T-cell engagers engineered to mitigate cytokine release, non-TOP1 ADC payloads designed to bypass topoisomerase resistance, and off-the-shelf cell therapy platforms optimized for lower manufacturing cost structures.

2. Roche & Simcere Zaiming

Exclusive Global Out-Licensing Agreement — September 1, 2026

Roche (VTX: ROG) entered an exclusive global out-licensing agreement with Simcere Zaiming (HKEX: 2096) for SIM0660, a preclinical tri-specific antibody targeting CD79a, CD19, and CD3 on a T-cell engager (TCE) platform for B-cell hematologic malignancies and autoimmune diseases.

Financial terms include a $75 million upfront cash payment, up to $1.455 billion in contingent regulatory and commercial milestones, and double-digit tiered royalties. The deal establishes a novel CD79a/CD19 dual-targeting paradigm aimed at overcoming resistance in patients previously treated with CD20- or CD19-directed therapies.

3. Eli Lilly & Merida Biosciences

Definitive Acquisition Buyout — August 31, 2026

Eli Lilly (NYSE: LLY) agreed to acquire Merida Biosciences for up to $2.875 billion, combining upfront cash and contingent developmental and commercial milestone payments.

The transaction gives Lilly MER511, a Phase I selective autoantibody degrader for Graves' disease, plus MER769, a preclinical IgE degrader for food allergies and asthma, and primary membranous nephropathy programs. The strategic rationale centers on clearing pathogenic antibodies without broad immunosuppression, directly challenging FcRn inhibitors and B-cell depleting therapies in TSHR-mediated diseases.

4. Natera & Angiex

Diagnostic Biomarker & Clinical Trial Monitoring Collaboration — August 31, 2026

Natera (NASDAQ: NTRA) partnered with Angiex to pair Signatera ctDNA molecular residual disease (MRD) testing with AGX101, a Phase I TM4SF1-directed nuclear-delivered antibody-drug conjugate (ND-ADC).

The collaboration integrates longitudinal circulating tumor DNA tracking into AGX101 clinical trials to complement radiologic imaging in measuring early biologic response in advanced solid tumors. It validates the routine inclusion of personalized ctDNA biomarker tracking in early-stage ADC development.

5. Simnova Biotechnology

Series B Equity Financing — August 31, 2026

Simnova Biotechnology closed a nearly RMB 400 million (~$56 million USD) Series B co-led by Fortera Capital, Cenova Capital, and Pudong Venture Capital, with participation from Oriza Holdings and Youshan Capital.

Proceeds will advance SNC103, an off-the-shelf CAR-NK program targeting CD19 in Phase I for systemic lupus erythematosus, and SNC116, an in vivo CAR-T platform. The financing signals growing private capital interest in 'Cell Therapy 2.0' platforms that address autologous CAR-T cost and supply barriers in autoimmune indications.

6. Genentech & DualityBio

Exclusive Global License & ADC Collaboration — August 28, 2026

Genentech, a member of the Roche Group, entered an exclusive global license and collaboration with DualityBio (HKEX: 09606) for the DUPAC (Duality Unique Payload Antibody Conjugate) platform, including DUP5 and DUP9 payloads applied to Genentech-defined oncology targets.

Genentech paid $45 million upfront, plus over $1.0 billion in potential aggregate development, regulatory, and commercial milestones, and tiered royalties. The deal secures novel non-topoisomerase payload capabilities to develop next-generation ADCs capable of overcoming topoisomerase I (TOP1) inhibitor resistance.

7. SK Biopharmaceuticals & Biohaven

Exclusive Global Licensing Agreement — August 26, 2026

SK Biopharmaceuticals entered an exclusive global licensing agreement with Biohaven (NYSE: BHVN) for Opakalim (BHV-7000), a Phase II/III selective Kv7.2/7.3 potassium channel activator oral small molecule for focal epilepsy.

SK Biopharmaceuticals will pay $350 million upfront ($350M at closing plus $50M in 2027), up to $395 million in contingent milestones, and double-digit royalties. The deal expands SK's global neurology commercial footprint alongside Xcopri and establishes selective Kv7 potassium channel modulation as a premier target area in refractory focal onset epilepsy.
